This document is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable. This electronic record is generated by a computer system and does not require any physical or digital signatures.

By accessing, browsing, or using the HealthBuddy website, mobile application, or related services (collectively, the “Platform”) provided by WELLBEING INTELLIGENCE PRIVATE LIMITED (“Company”, “We”, “Us”), you (“User”, “You”) agree to be bound by these Terms and Conditions (“Terms”).

IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE THE PLATFORM. YOUR CONTINUED USE CONSTITUTES A BINDING ACCEPTANCE OF THESE TERMS.

2Nature of Services

The Platform provides a health and wellness tracking system (“Service”) that includes features such as:

Activity and hydration tracking
Health reminders and notifications
AI-assisted symptom checker for general informational purposes
Wellness tips and educational content
Personal health journaling and tracking tools

CRITICAL DISCLAIMER:

Not a Medical Service: The Platform is an informational and wellness support tool. It is NOT a medical service, healthcare provider, or emergency system.
No Doctor-Patient Relationship: Use of this Platform does not create a doctor-patient relationship between You and the Company or any healthcare provider.
Informational Only: All outputs, including symptom assessments and wellness suggestions, are for general informational and educational purposes only. They do not constitute medical advice, diagnosis, or treatment.
Professional Consultation Required: You should always consult with a qualified healthcare professional for any medical concerns. The Platform cannot detect or exclude serious or life-threatening conditions.
Emergency Situations: If you have urgent symptoms or a medical emergency, seek immediate medical attention. Do NOT rely on this Platform for emergency care.

3Eligibility

You represent and warrant that:

You are at least 18 years of age, or if you are a minor, you are using the Platform under the supervision and consent of a parent or legal guardian.
You are legally competent to enter into a binding contract under the Indian Contract Act, 1872.
All information you provide to the Platform is accurate, current, and complete to the best of your knowledge.

4User Obligations & Conduct

You agree to use the Platform strictly in accordance with the following:

Accurate Data: You must provide true, accurate, and current information. The Company is not responsible for inaccurate results caused by incorrect inputs.
Personal Use: The Platform is intended for your personal, non-commercial use only.

Prohibited Uses - You shall NOT:

Use the Platform for any illegal purpose or in violation of any Indian law
Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms
Use the output for medical decision-making without consulting a qualified healthcare professional
Use the Platform as a substitute for professional medical advice, diagnosis, or treatment
Rely on the Platform for emergency medical situations
Resell, sub-license, or redistribute access to the Platform without our written consent
Input malicious code, viruses, or harmful data
Impersonate any person or entity or misrepresent your affiliation
Share your account credentials with others

5User Responsibility

Personal Health Decisions: You acknowledge that the Platform provides general wellness information only. You retain full responsibility for all health decisions and actions taken based on information from the Platform.
Professional Consultation: You agree to consult with qualified healthcare professionals for any medical concerns, and understand that the Platform cannot replace professional medical judgment.
Voluntary Participation: All information you provide is voluntary. You may choose what information to share and can request deletion in accordance with our Privacy Policy.

6Intellectual Property Rights

Ownership: All rights, title, and interest in the Platform, including the HealthBuddy brand, software, algorithms, AI models, UI/UX, content, and trademarks, belong exclusively to WELLBEING INTELLIGENCE PRIVATE LIMITED.
License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes.
Restrictions: You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property.
Your Content: You retain ownership of personal information you input, but grant us a license to use, process, and anonymize such data as described in our Privacy Policy.

7Payment and Subscription (If Applicable)

Free and Premium Features: The Platform may offer both free and premium features. Access to certain premium features may require payment of subscription fees.
Billing: Subscription fees will be billed in advance on a recurring basis (monthly, annually, etc.) as selected by you.
Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.
Refunds: All fees paid are generally non-refundable, except where required by applicable law. We do not offer refunds for dissatisfaction with informational content or assessments provided by the Platform.
Taxes: You are responsible for all applicable taxes (GST, etc.).
Price Changes: We reserve the right to modify subscription fees with reasonable advance notice.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NO LIABILITY FOR HEALTH OUTCOMES: THE COMPANY SHALL NOT BE LIABLE FOR ANY HEALTH OUTCOMES, MEDICAL DECISIONS, DELAYED CARE, OR ADVERSE HEALTH EVENTS RESULTING FROM YOUR USE OF OR RELIANCE ON THE PLATFORM. YOU ASSUME ALL RISKS ASSOCIATED WITH USING THE INFORMATIONAL CONTENT PROVIDED.
NO WARRANTY OF ACCURACY: THE PLATFORM MAY PROVIDE INCOMPLETE, INACCURATE, OR OUTDATED INFORMATION. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT.
INCIDENTAL DAMAGES: IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, HEALTH COMPLICATIONS, OR PERSONAL INJURY).
MONETARY CAP: NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE COMPANY'S ENTIRE LIABILITY TO YOU UNDER THESE TERMS SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO THE COMPANY IN THE PRECEDING THREE (3) MONTHS, OR INR 1,000, WHICHEVER IS LOWER.

Third-Party Services: The Platform may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or content of such third-party services.

9Indemnification

You agree to indemnify, defend, and hold harmless WELLBEING INTELLIGENCE PRIVATE LIMITED, its directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

Your violation of these Terms
Your misuse of the Platform or its content
Any health decisions or actions you take based on information from the Platform
Your provision of inaccurate or misleading information
Your violation of any third-party rights, including privacy or intellectual property rights
Any claim by a third party related to your use of the Platform

10Disclaimer of Warranties

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties of any kind, whether express or implied, including:

Warranties of merchantability or fitness for a particular purpose
Warranties that the Platform will meet your health or wellness goals
Warranties of accuracy, reliability, or completeness of information
Warranties that the Platform will be error-free, uninterrupted, secure, or free from viruses
Warranties that defects will be corrected

Your use of the Platform is at your sole risk. The Platform is not intended to detect, diagnose, treat, or prevent any disease or health condition.

11Governing Law and Jurisdiction

Law: These Terms shall be governed by the laws of India.
Jurisdiction: Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gorakhpur, Uttar Pradesh.
Arbitration: Any dispute shall be referred to a sole arbitrator appointed by the Company. The seat of arbitration shall be Gorakhpur, and proceedings shall be in English/Hindi.

12Termination

By Company: We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
By You: You may terminate your account at any time by contacting us or using account deletion features in the Platform.
Effect of Termination: Upon termination, your right to use the Platform will immediately cease. We may delete your data in accordance with our Privacy Policy, except where retention is required by law.
Survival: Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination.
